Terms of Service

These terms are the agreement between Pepped LLC, a South Carolina limited liability company ("we", "us"), and the business operating a store on pepped ("you", "your store").
They cover running a store. If you are buying from a store on pepped, your agreement is with that store, not with us — their terms and their policies apply to your purchase. How we handle personal information is in our Privacy Policy.
What pepped is
pepped is a hosted platform for running an online store: a public storefront, a catalogue, stock and lot tracking, order handling, customer records, and the day-to-day tools around them. Your store runs at its own address under pepped.io.
pepped is software. It is not a payment processor, not a fulfilment service, not a compliance service, and not a party to anything you sell. What you sell, to whom, and on what terms is yours.
Signing up
You agree to these terms when you start a trial on the signup page, or by using pepped after that. Whoever signs up does so on behalf of the business named on the form and confirms they may bind it to these terms.
You are responsible for everyone you give access to your store: what they do, and keeping their sign-in details to themselves. Tell us promptly if you believe an account has been compromised.
Tiers and Seats
Every store is on one of three Tiers. Each Tier includes everything the one below it does.
- Starter: the whole core platform, with 2 Seats.
- Growth: 5 Seats, one Custom Domain, and the Reports and Analytics, Reference Catalog, Identity Verification, Storefront Builder and COA Extraction modules.
- Pro: unlimited Seats, and the Cold Chain, Storefront API and Multi-site modules.
A Seat is one person with access to your store's admin, owners included. The price of each Tier, monthly or annually, is the one shown when you subscribe. Prices do not include tax; where we are required to collect sales tax, it is added to your invoice.
The trial
A new store starts on a 14-day free trial of the Tier chosen at signup. No card is needed to start it. We may extend a trial. We email your store's owners before it ends.
If the trial ends without a subscription, your store is locked, as described below, until you subscribe.
Billing
A subscription is billed in advance, monthly or annually, to the card you give our payment processor, Stripe. It renews automatically until you cancel. Card details are held by Stripe, not by us.
Changing Tier takes effect immediately, up or down. Stripe prorates the change: you are charged for the rest of the period at the higher price, or credited for it at the lower one. Moving down, you choose who keeps a Seat if the lower Tier has fewer, and the modules the lower Tier does not include are switched off. Switching a module off ends what it does: a Custom Domain is detached, Storefront API tokens are revoked, and so on. The records your store already holds stay.
Price changes do not reach an existing subscription without notice. We email your store's owners at least 60 days before a new price applies to you, and it applies from your first renewal after that. A new subscription pays the price in force when it starts.
Refunds. Fees are non-refundable, including for the rest of a period after you cancel. A credit on moving down a Tier, and the refund below if we end this agreement, are the only automatic adjustments. We may refund at our discretion, for example where we have charged in error. This is about what you pay us; refunding your own customers is yours to decide.
Failed payments. If a renewal fails, your subscription is past due. Stripe retries the payment over about two weeks, your store keeps working, and owners see a notice in the admin. If every retry fails, your store is locked until the open invoice is paid.
Your store's payments are yours
Two payment relationships are involved in running a store on pepped, and they are separate.
What you pay us is billed by Pepped LLC through our own Stripe account, as above.
What your customers pay you runs through a payment gateway account of your own, Stripe or Authorize.net, under your own agreement with that provider, or through manual methods you record yourself. Your customers' money goes to you. It never passes through us and we never hold it. We store the credentials you connect so your checkout can create payments, and we are not a party to your agreement with your provider. Whether your provider will accept what you sell, and what happens if it stops, is between you and them.
Your data is yours
Everything your store holds — your catalogue, your stock records, your orders, your customers — belongs to you. We hold it to run the platform for you and to do the things you ask the platform to do. We do not use it for our own purposes, we do not sell it, and we do not share it with other stores on pepped.
You can have a complete copy of your store's data at any time, whether or not your store is locked. Ask us and we will provide it as an archive. A self-service export from your billing page is coming.
You are responsible for the personal information you put into pepped: that you are entitled to hold it, that you tell your customers what you do with it, and that you answer their requests about it.
What you are responsible for
What you sell, and how you describe it. Every product, every claim, every price. Whether a product may lawfully be sold at all, and to whom, is your judgement and your risk.
Your own compliance text. pepped seeds disclaimer text for the stance your store sells under and lets you edit it, and it renders that text on product pages, at checkout, on labels and on packing slips. Seeded text is a starting point, not legal advice, and not a review of your situation. Reviewing it is yours.
The pages your customers need from you. Your store's terms, privacy, shipping and returns text are yours to write and publish on your storefront. We do not write them for you, and our policies do not cover your store.
Where you will and will not ship. pepped ships no legal defaults beyond domestic-only. Which regions to exclude, and whether to ship abroad at all, is your call and your responsibility to get right.
Age, research and cold-chain confirmations. pepped can require and record them. Whether they are the right ones for what you sell is yours to determine.
Your tax, licensing and registration obligations. All of them.
What you may not do
- Sell anything you are not lawfully entitled to sell, or sell to anyone you are not lawfully entitled to sell to.
- Turn off, work around, or misrepresent the compliance features your store is using — disclaimers, attestations, shipping exclusions, customer approval.
- Use pepped to send unsolicited email, or to collect information under false pretences.
- Attempt to reach another store's data, probe the platform's security, or scrape it at scale.
- Resell or sublicense access to pepped to someone else as if it were yours.
Suspension and locking
A locked store's storefront shows a maintenance page, including on a Custom Domain, and its admin admits owners to the billing page only. Your store is locked when a trial ends without a subscription, when a subscription runs out after cancelling or after every payment retry fails, and in the cases below. Subscribing or paying the open invoice unlocks it. Your data is untouched when a store is locked, and you can still have a copy of it.
We may also lock your store where we are required to by law, or where we reasonably believe it is being used for something in the list above.
We may lock a store immediately and without notice where we believe on reasonable grounds that it is selling something unlawfully, working around the compliance features it is using, putting the platform's security or another store at risk, or where a regulator, a payment processor or the law requires it of us.
For anything else we will tell you what is wrong and give you a reasonable chance to put it right before locking. For non-payment, the trial reminders and the payment retries described above are that chance.
Ending it
You can leave at any time by cancelling from your billing page. Your subscription runs to the end of the period you have paid for, and then your store is locked. We can end this agreement with 30 days' notice, and sooner where you have breached these terms. If we end it for any reason other than your breach, we refund the unused part of any fee you have paid in advance.
A locked store's data is kept for at least 90 days. After that we may delete it permanently. Get your copy before then; backups taken earlier age out on their own schedule.
No warranty
pepped is provided as it is. We do not promise it will be uninterrupted, error-free, or fit for any particular purpose, and we make no warranties beyond those the law does not let us disclaim.
We are not responsible for what your customers do, what your suppliers do, or what any payment, shipping or other provider you use does.
Limitation of liability
To the fullest extent the law allows, we are not liable for lost profits, lost sales, lost data, or any indirect or consequential loss. Our total liability to you for any claim is limited to the greater of the fees you paid us in the twelve months before the claim, or one hundred dollars.
Nothing here limits liability that cannot be limited by law.
Indemnity
You will cover us against claims arising from what you sell, how you describe it, who you sell it to, and the personal information you put into pepped.
Changes to these terms
We will update this page and change the date at the top. Where a change materially affects you, we will give you reasonable notice before it takes effect. Price changes follow the 60-day notice above.
Governing law
South Carolina law governs this agreement, and the state and federal courts of South Carolina are where any dispute is heard.
